BOOTH READY BASIC NON-EXCLUSIVE LICENSE AGREEMENT

This Basic Non-Exclusive License Agreement ("Agreement") is made between Beat4Life, LLC, doing business through the Booth Ready storefront ("Licensor"), and the purchasing customer ("Licensee") for the instrumental composition and sound recording identified at checkout (the "Beat").

By purchasing, downloading, or using the Beat under the Basic License, Licensee agrees to the terms below.

Grant of Rights

Licensor grants Licensee a limited, non-exclusive, non-transferable license to use the Beat to create one new musical recording by adding vocals, lyrics, and/or original performance elements (the "New Song").

The Basic License is intended for demos, promotional releases, early releases, and lightweight commercial distribution.

Ownership

Licensor retains full ownership of the Beat, including the underlying composition, master recording, arrangement, production, and all related intellectual property rights not expressly granted in this Agreement.

Licensee does not receive ownership of the Beat. Licensee owns only Licensee’s original lyrics, vocals, and creative contributions added to the Beat.

Non-Exclusive Nature

This license is non-exclusive. Licensor may continue to sell, lease, license, transfer, or otherwise make the Beat available to other artists, creators, or third parties.

Licensee understands that other artists may use the same Beat under separate licenses.

Permitted Uses

Record one New Song using the Beat.

Distribute the New Song on digital streaming platforms.

Use the New Song for demos, promotional releases, mixtapes, social media, and entry-level commercial release.

Monetize the New Song through normal digital distribution, subject to the limitations in this Agreement.

Basic License Limitations

Unless otherwise approved in writing by Licensor, Licensee may not:

Sell, license, sublicense, assign, or transfer the Beat by itself.

Upload, distribute, or make available the Beat as a standalone instrumental.

Claim ownership of the Beat.

Register the Beat or the New Song in a way that prevents Licensor or other authorized licensees from using the Beat.

Use Content ID, fingerprinting, or automated copyright claiming systems against the Beat or against other authorized users of the Beat.

Use the Beat for film, television, paid advertising, games, apps, NFTs, sample packs, beat packs, or sync placements without a separate written agreement.

Represent the license as exclusive.

Credit Requirement

Licensee must provide production credit where credits are customarily displayed, using the following credit:

No Resale or Transfer

This license is personal to Licensee. Licensee may not sell, transfer, assign, sublicense, lease, or give this license to another person or entity without Licensor’s written consent.

Prior and Future Licenses

Licensee understands that this Basic License does not prevent Licensor from granting future licenses, including an exclusive license, to another buyer.

If the Beat is later sold exclusively, Licensee’s valid prior Basic License remains valid according to these terms. However, Licensee receives no exclusive rights and may not object to Licensor’s sale of exclusive rights to another party.

No Refunds

All digital sales are final unless otherwise required by law or expressly approved by Licensor in writing.

Breach and Termination

If Licensee violates this Agreement, Licensor may terminate the license. Upon termination, Licensee must stop new use and distribution of the Beat and the New Song to the extent required by Licensor.

Governing Law

This Agreement is governed by the laws of the State of New Jersey, without regard to conflict-of-law principles.

Entire Agreement

This Agreement represents the entire understanding between Licensor and Licensee regarding the Basic License for the Beat and supersedes prior discussions or communications regarding this license.
